Welcome to Advault360. These Terms and Conditions ("Terms") govern your access to and use of our website, services, software, and platforms. By engaging our services, you ("Client", "You") agree to be bound by these Terms.

1. Scope of Services

Advault360 provides digital marketing, performance advertising, custom software development, and brand creative services. The specific deliverables, timelines, and fees will be outlined in a separate Statement of Work (SOW), Invoice, or Proposal.

2. Financial Terms & Non-Refundability

• Ad Spend: The Client is solely responsible for all advertising spend directly billed by platforms (e.g., Meta, Google, TikTok). Management fees do not include ad spend.
• Late Payments: Invoices are due upon receipt unless otherwise stated. We reserve the right to suspend all active campaigns, website hosting, and services if payment is delayed by more than 5 days.

3. Client Responsibilities & Delays

The success of our campaigns and builds relies on your timely cooperation. The Client agrees to:

• Provide required assets (logos, login credentials, media) within 3 business days of a request.
• Review and approve deliverables promptly.

Loophole Closure: If a project or campaign is delayed due to the Client's failure to provide necessary access, feedback, or assets, the monthly retainer fee remains fully payable. We do not pause billing for client-side delays.

4. Results, ROI, and Platform Actions

We utilize industry-leading strategies to generate traffic and leads. However, the Client acknowledges that:

• No Guarantees: We do not guarantee specific financial results, lead volumes, or Return on Investment (ROI). Market conditions and user behavior are outside our control.
• Third-Party Platforms: Meta, Google, TikTok, and other platforms change their algorithms and policies frequently. We are not liable for any suspension, ban, or restriction placed on the Client's advertising accounts by these third-party platforms.

5. Intellectual Property Rights

Upon full clearance of all outstanding invoices, the Client will receive usage rights to the final deliverables (ads, websites, funnels). However:

• We retain the right to use the completed project and campaign performance metrics for our own promotional portfolio and case studies.
• Proprietary software, internal codebases, AI workflows, and backend architectures developed by us remain our exclusive intellectual property, licensed to the Client for use during the term of the agreement.

6. Limitation of Liability

To the maximum extent permitted by applicable law, our agency and its directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services.

7. Indemnification

You agree to defend, indemnify, and hold us harmless against any claims, damages, obligations, losses, liabilities, costs, or debt arising from: (i) your use of our services; (ii) your violation of any third-party right, including copyright, property, or privacy right regarding materials you provided to us.

8. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the United Arab Emirates (UAE), specifically the Emirate of Dubai, without regard to its conflict of law provisions. Any dispute arising out of or related to these terms will be subject to the exclusive jurisdiction of the courts of Dubai.
